You can register as a sole proprietor (FOP) via Diia in a few minutes. The harder part is choosing the right business activities, understanding whether the simplified tax system suits you and which group, how to work with foreign clients and which contracts you need from day one.
We help you go through this process without mistakes: we advise before registration, file the documents, check that the information has been entered correctly and prepare basic contracts. Later, if needed, we handle changes — new activity codes (KVED/КВЕД), a change of group or address — and closure of the FOP. Tax rates and limits change, so we check them as of the date you contact us.

What the lawyer does
Advice before registration
We select KVED codes for your activity and explain the conditions of the single tax groups and the general system, restrictions by type of activity and working with foreign currency.
Registering the FOP
We file the documents online or through a state registrar together with the application to opt for the simplified system, and check the information entered.
Preparing basic contracts
A client contract, a public offer for your website, a contract with a foreign customer in English or in two languages — taking foreign currency settlement requirements into account.
Handling changes
We add KVED codes, change your group or tax system, address and other details, and remind you of filing deadlines to avoid fines.
Helping close the FOP
We explain the closure sequence, help file the documents and prepare for reporting so that no obligations remain outstanding after closure.
Documents to prepare
- Passport and taxpayer registration number (RNOKPP/РНОКПП)
- A description of the activity you plan to carry out
- Registered residential address
- For changes — a Unified State Register (USR/ЄДР) extract and details of your current group
- Contracts with clients, if you already have them
What you get
- A consultation on choosing KVED codes and a tax system
- A registered FOP and a USR extract
- A basic contract or offer for your activity
- A memo on the entrepreneur's main obligations
Frequently asked questions
Can I register as a sole proprietor (FOP) if I am abroad?
Yes: via Diia, if you have access to it and a qualified electronic signature (QES/КЕП), or through a representative under a notarised power of attorney. Keep in mind your address in Ukraine, as it determines which tax office you will be registered with. We also assess whether you might become a tax resident of the country where you are staying — this is worth discussing with an adviser in that country.
Do I need an accountant if I have a lawyer?
These are different tasks. A lawyer helps with registration, contracts, changes and disputes. Bookkeeping, tax payments and reporting are an accountant's job, which on the simplified system is often done by the entrepreneur themselves. We can work together with your accountant so that the contracts and the tax side are aligned.
How does an FOP differ from an LLC?
A sole proprietor (FOP) is liable for business obligations with all of their personal assets, whereas a member of an LLC (TOV), as a general rule, risks only their contribution. An FOP is simpler to administer and tax, but has restrictions on types of activity and income. An LLC is more convenient for partnerships and investment. The choice depends on your plans and risks and is worth discussing before registration.
